End User License Agreement of MailsWare

This EULA (agreement) is a legal agreement between the end user and MailsWare Company for using MailsWare software products and services. You accept this Agreement by installing or using the Software in any additional manner. Installing or using the Software is not allowed if you disagree with the conditions of this Agreement.

This EULA agreement governs your acquisition and use of our Email Migration software ("Software") directly from Mailsware or indirectly through a Mailsware authorized reseller or distributor (a "Reseller").

License Grant:

MailsWare now grants you, as an individual, the revocable, personal, non-exclusive, and non-transferable right to install and activate the Software on two separate computers solely for your personal and non-commercial use, unless you have purchased a commercial/technician license from MailsWare. You aren't allowed to share this software or allow others to see its contents under the terms of this license. You are not permitted to distribute the Software to multiple users or make it available on a network unless you have already purchased at least a multi-user license from MailsWare.

License Conditions:

As you agreed upon, you will not allow anybody else to:

Any commercial use of the software, including licensing, selling, renting, leasing, assigning, distributing, transmitting, hosting, outsourcing, disclosing, or making it available to third parties, is prohibited.

Alter, who is translating, creates a derivative work from, break apart, decode, reverse engineer, or compiles the software in any way.

Remove, modify, or conceal any proprietary notice (such as a copyright or trademark notice) of MailsWare, its partners, suppliers, affiliates, or the software's licensors.

Updates:

From time to time, MailsWare may offer upgrades, bug fixes, patches, updates, upgrades, and other changes (collectively, "Updates") that expand or improve the features or functioning of the software. Updates may add, remove, or change some of the software's features and/or functionalities. You acknowledge that MailsWare is under no duty to

(i) provide you with any Updates

(ii) keep you updated or enabled for any specific features and/or functionality of the software.

You also agree that this Agreement's terms and conditions shall apply to all Updates, and that they will be (i) considered an essential component of the Software.

Duration and Ending:

This Agreement will be in force until either you or MailsWare terminate it. This Agreement may be suspended or terminated by MailsWare at any time and for any cause, with or without previous notice, at its sole discretion. If you breach any of the terms of this agreement, MailsWare will immediately cancel this agreement without further notice. Moreover, you may end this Agreement by removing the Software from your computer and all copies of it. You will stop using the software and remove any copies from your computer upon the end of this agreement.

The Ownership:

The software is not sold; it is licensed. MailsWare or its licensors own and will keep all rights, title, and interest in and to the Software, including all copyrights, trademarks, and other intellectual property rights.

Restrictions on Liability:

The following situations will not give rise to any liability from MailsWare, its affiliates, or any of its or their respective licensors or service providers:

A. Personal injury, property damage, lost profits, cost of substitute goods or services, loss of data, loss of goodwill, business interruption, computer failure or malfunction, or any other consequential, incidental, indirect, exemplary, special, or punitive damages; to the fullest extent permitted by applicable law, none of these parties will be liable for any of these situations.

B. Direct damages in an amount greater than the total amount you really paid for the software.

Ability to Sever:

The remaining terms of this Agreement shall be enforced to the fullest extent permitted by law in the event that any provision is found to be illegal or unenforceable.

Full Agreement:

This Agreement replaces all previous and contemporaneous written or oral agreements between you and MailsWare regarding your use of the Software and represents the whole understanding between the parties about such use.
